Terms of Service

1. Agreement to these terms

These Terms of Service ("Terms") govern your use of FreightFlow, a logistics and inventory-recovery marketplace operated by Bryan Carlile, doing business as Primesource Experts ("Primesource Experts," "we," "us," or "our"). Primesource Experts, LLC is in the process of formation as a Wyoming limited liability company; until formation is complete, these Terms are entered into with Bryan Carlile personally. By creating an account or using FreightFlow, you agree to these Terms. If you don't agree, don't use the platform.

2. What FreightFlow is

FreightFlow is a marketplace connecting freight capacity, surplus inventory, and excess freight loads with buyers and freight partners. Depending on the listing, you may be transacting directly with Primesource Experts (for listings marked as our own catalog), or with another user of the platform (for user-submitted listings and auction lots). Some information displayed on the platform — including airport/seaport capacity data and freight load listings — may be illustrative or sourced from third-party data providers rather than reflecting real-time availability; where that's the case, it's labeled accordingly on the page.

3. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use FreightFlow. You're responsible for:

• Providing accurate information when you register
• Keeping your password confidential and secure
• All activity that occurs under your account

Notify us immediately at bryan.carlile@primesourceexperts.com if you suspect unauthorized access to your account.

4. Listings, bids, and purchases

If you post a surplus listing or auction lot, you're responsible for the accuracy of what you post — quantity, condition, pricing, and description. You represent that you have the legal right to sell what you list.

A completed bid or purchase is a binding commitment to buy at the agreed price. Placing a bid that exceeds the current bid obligates you to that amount if you win the auction.

All payments are processed through Stripe. Sales are generally final; refunds or cancellations are handled case-by-case at our discretion, except where required by law.

5. Shipping and delivery

Manufacturer Surplus listings are freight-scale inventory — pallets and bulk lots, not small-parcel goods. The listed price is for the goods themselves and does not include shipping unless the listing description says otherwise.

FreightFlow does not currently collect a delivery address or arrange carrier pickup automatically at checkout. After a purchase completes, we (or the seller, for listings posted by other users) will contact you at your account email to coordinate pickup or delivery, confirm freight class and destination, and arrange payment for shipping costs if they're not already included in the listed price.

Delivery timelines vary by carrier, distance, and freight availability and aren't guaranteed. If you have special delivery requirements (liftgate, appointment scheduling, limited-access delivery), let us know when we reach out after purchase.

6. Freight brokerage disclosure

FreightFlow is a software platform. Primesource Experts is not a licensed freight broker, does not arrange transportation between shippers and carriers, does not take possession of freight, and does not earn any commission on freight transactions. Where a user needs freight brokered, that service is performed by an independent, separately FMCSA-licensed freight broker under their own operating authority — not by Primesource Experts. Primesource Experts' only compensation from FreightFlow is its software subscription and platform fees; responsibility for the actual arrangement and transportation of goods rests entirely with the independent broker and carrier engaged for that shipment.

7. Prohibited conduct

You agree not to:

• List or attempt to sell illegal, stolen, counterfeit, or regulated goods you're not authorized to sell
• Provide false information about a listing, your identity, or your authority to sell
• Attempt to circumvent, disable, or interfere with the platform's security features
• Use the platform for any fraudulent or unlawful purpose
• Scrape, reverse-engineer, or systematically extract data from the platform without our written permission

8. Intellectual property

The FreightFlow name, design, and underlying software are the property of Primesource Experts. You retain ownership of the content you submit (listing descriptions, images, etc.), but you grant us a license to display and use it as necessary to operate the platform.

9. Disclaimer of warranties

FreightFlow is provided "as is" and "as available," without warranties of any kind, express or implied. We don't guarantee the accuracy of listings, freight capacity data, or pricing information submitted by other users or sourced from third parties. We don't warrant that the platform will be uninterrupted, error-free, or secure at all times.

10. Limitation of liability

To the maximum extent permitted by law, Primesource Experts is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including but not limited to lost profits, lost data, or business interruption — even if we've been advised of the possibility of such damages. Our total liability for any claim arising from your use of FreightFlow is limited to the amount you paid to us in the twelve months preceding the claim, or $100, whichever is greater.

11. Indemnification

You agree to indemnify and hold Primesource Experts harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the platform, your listings, or your violation of these Terms.

12. Termination

We may suspend or terminate your account at our discretion, with or without notice, for conduct we believe violates these Terms or is otherwise harmful to the platform or other users. You may stop using FreightFlow and request account deletion at any time.

13. Governing law

These Terms are governed by the laws of the State of Oklahoma, without regard to conflict-of-law principles, reflecting our current operating base. This section will be revisited once Primesource Experts, LLC completes formation in Wyoming.

14. Changes to these terms

We may update these Terms as the platform evolves. Continued use of FreightFlow after a change takes effect constitutes acceptance of the updated Terms. If a change is material, we'll make a reasonable effort to notify account holders directly.
